In India all registered companies like public limited company, private limited company, One Person Company, and section 8 companies are bound to file MCA annual returns every year. Prior to filing an annual return, a company has to call an Annual General Meeting at the end of every financial year.

Companies that have been newly incorporated, the Annual General Meeting has to be called within 9 months from the date of ending of the financial year or 18 months from the date of inception, whichever is earlier. Following, Annual General Meetings are to be called within 6 months from the end of that financial year.

Normally in India, on April 1st the financial year starts and on 31st March it ends.

Yes, even if there are no transactions every company has to complete the compliance filings.
The AGM can take place at the company’s registered office or at any other location where the registered office is located i.e. within the city, town or village. It can be on any day other than a national holiday declared by the Central Government but the time must be during the business hours i.e. 9 am - 6 pm.
In addition to normal fees, additional fees of Rs.100/- per day per form will be levied for delay in Filing Form AOC 4 and MGT 7.
Form AOC4 needs to be filed within 30 days from the conclusion of the AGM. If AGM is not conducted then within 30 days from the date when the AGM should have been held.
Form MGT 7 needs to be filed within 60 days from the conclusion of the AGM. If AGM is not conducted then within 60 days from the date when the AGM should have been held.
One Person Company (OPC) shall file Form AOC 4 within 180 days from the end of the Financial Year i.e 25th September. Form MGT 7 needs to be filed within 60 days from the conclusion of AGM.
